Terms of Service

These Terms of Service ("Terms") govern access to and use of OKLegal ("Platform", "we", "our"), operated by OKLegal S.R.L., incorporated in Costa Rica. By registering for, accessing, or using the Platform, you ("User", "Subscriber") agree to be bound by these Terms in their entirety.

If you access OKLegal on behalf of a law firm or organization, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

Use of the Platform constitutes full acceptance of these Terms and our Privacy Policy, which is incorporated by reference. If you do not accept any of these conditions, you must refrain from using OKLegal.

OKLegal reserves the right to modify these Terms at any time. Material changes will be communicated at least 15 days in advance. Continued use of the Platform after the effective date of changes constitutes acceptance of the new Terms.

2. Definitions

"Platform" The OKLegal software accessible at oklegal.io and its subdomains, including the web application, client portal, and APIs.
"Subscriber" The individual or legal entity that contracts an OKLegal plan and is responsible for payment.
"User" Any person who accesses the Platform under a Subscriber's account, including attorneys, assistants, and administrators.
"Client Data" All information the Subscriber enters into the Platform about their clients, cases, documents, and communications.
"Content" Texts, documents, templates, forms, and other materials created or uploaded by the User on the Platform.
"Plan" The contracted subscription tier (Essential, Professional, or Firm) with its corresponding features and limits.

3. Account Registration

To use OKLegal you must create an account providing truthful, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account.
  • Notifying OKLegal immediately of any unauthorized access.
  • Ensuring that all users of your account comply with these Terms.

OKLegal reserves the right to suspend or terminate accounts that show evidence of fraudulent access, identity impersonation, or suspicious activity.

4. Acceptable Use

The Platform is designed for legal practice management. The following are strictly prohibited:

  • ×Using the Platform for illegal activities or activities that violate third-party rights.
  • ×Attempting to access other users' accounts or data that does not belong to you.
  • ×Reverse engineering, decompiling, or attempting to obtain the Platform's source code.
  • ×Introducing viruses, malware, or other malicious code into the Platform.
  • ×Using the Platform to send unsolicited mass communications (spam).
  • ×Intentionally overloading OKLegal's infrastructure through bots, scrapers, or denial-of-service attacks.
  • ×Reselling, sublicensing, or redistributing access to the Platform without prior written authorization.

Violation of these prohibitions may result in immediate account suspension without refund, in addition to applicable legal action.

5. Intellectual Property

OKLegal's property: All software, design, source code, trademarks, logos, documentation, and Platform-native content are the exclusive property of OKLegal S.R.L. or its licensors, protected by applicable intellectual property laws. These Terms do not grant you any ownership rights over the Platform.

Your data: You retain all rights over the data, documents, and content you enter into OKLegal. By using the Platform, you grant OKLegal a limited, non-exclusive, revocable license to host, process, and display such content solely for the purpose of providing the contracted service.

Templates: Templates included in the OKLegal standard library are the property of OKLegal and are licensed for use within the Platform only. Templates you create are your property.

6. Plans and Billing

OKLegal offers monthly and annual subscription plans priced in US dollars (USD). Payment processing is performed by Stripe, Inc. Charges are applied in advance at the start of each billing cycle.

Plan changes

You may upgrade your plan at any time; the prorated charge is applied immediately. To downgrade, the change applies at the start of the next billing cycle.

Taxes

Stated prices do not include applicable local taxes. OKLegal will charge applicable taxes based on the Subscriber's jurisdiction where required by law.

Failed payment

For a failed payment, OKLegal will retry the charge according to Stripe's retry policy. If payment is not resolved within 7 business days, the account may be suspended until the balance is settled.

7. Free Trial Period

OKLegal offers a 14-day free trial period with no credit card required. During this period, you have full access to the features of your selected plan.

  • At the end of the trial period, the account is automatically suspended until a paid plan is activated.
  • Data entered during the trial is retained for 30 additional days after suspension, allowing recovery upon subsequent subscription.
  • OKLegal reserves the right to modify the duration of free trials without notice for new accounts.

8. Cancellation and Refunds

You may cancel your subscription at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing cycle; there are no additional charges.

Refund policy: Payments already processed are non-refundable, except in the following exceptional cases: (a) a technical error attributable to OKLegal that prevented access to the service for more than 48 consecutive hours during the paid period; (b) a duplicate charge due to a system error. Refund requests must be submitted within 7 days of the charge to [email protected].

After cancellation, your data remains available for export for 90 days. After this period, data is permanently deleted from our servers (except billing records required by law).

9. Electronic and Digital Signatures — Legal Notice

Important: Legal validity of signatures

OKLegal's native electronic signature is a document authentication and integrity mechanism. The legal validity of any electronically signed document depends on the applicable legislation in your jurisdiction and the type of signature used. OKLegal does not guarantee that all electronically signed documents will be admissible in all judicial proceedings or before all institutions.

  • Digital Signature CR (Gaudi): Complies with Law No. 8454 — Law on Certificates, Digital Signatures and Electronic Documents of Costa Rica and carries full legal validity equivalent to a handwritten signature.
  • DocuSign / OpenSign: Third-party providers subject to their own Terms of Service. OKLegal acts as an integration intermediary.
  • OKLegal native signature: A simple electronic signature. The user is responsible for evaluating its sufficiency for each specific case.

OKLegal generates and retains audit evidence (timestamp, IP address, user agent, document hash) for all signature events performed on the Platform.

10. Service Availability

OKLegal is committed to maintaining reasonable service availability. However, we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to:

  • Scheduled maintenance (communicated at least 24 hours in advance).
  • Third-party incidents (infrastructure providers, network services).
  • Force majeure events beyond OKLegal's reasonable control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

OKLegal provides the Platform "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

OKLegal shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, loss of clientele, or business interruption, even if OKLegal was advised of the possibility of such damages.

OKLegal's total cumulative liability to you for any claim arising from these Terms or the use of the Platform shall not exceed the amount paid by the Subscriber during the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so the above limitations may not fully apply to you.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Costa Rica, without regard to its conflict of law rules. Any dispute arising out of or related to these Terms shall be resolved preferably through direct negotiation between the parties.

If direct negotiation does not reach agreement within 30 days, the parties submit to the exclusive jurisdiction of the ordinary courts of San José, Costa Rica. For users in countries where legally required, nothing in these Terms limits your right to file complaints with your country's consumer protection authorities.
