These Terms of Service ("Terms") govern access to and use of OKLegal ("Platform", "we", "our"), operated by OKLegal S.R.L., incorporated in Costa Rica. By registering for, accessing, or using the Platform, you ("User", "Subscriber") agree to be bound by these Terms in their entirety.
If you access OKLegal on behalf of a law firm or organization, you represent that you have the authority to bind that entity to these Terms.
Use of the Platform constitutes full acceptance of these Terms and our Privacy Policy, which is incorporated by reference. If you do not accept any of these conditions, you must refrain from using OKLegal.
OKLegal reserves the right to modify these Terms at any time. Material changes will be communicated at least 15 days in advance. Continued use of the Platform after the effective date of changes constitutes acceptance of the new Terms.
To use OKLegal you must create an account providing truthful, complete, and current information. You are responsible for:
OKLegal reserves the right to suspend or terminate accounts that show evidence of fraudulent access, identity impersonation, or suspicious activity.
The Platform is designed for legal practice management. The following are strictly prohibited:
Violation of these prohibitions may result in immediate account suspension without refund, in addition to applicable legal action.
OKLegal's property: All software, design, source code, trademarks, logos, documentation, and Platform-native content are the exclusive property of OKLegal S.R.L. or its licensors, protected by applicable intellectual property laws. These Terms do not grant you any ownership rights over the Platform.
Your data: You retain all rights over the data, documents, and content you enter into OKLegal. By using the Platform, you grant OKLegal a limited, non-exclusive, revocable license to host, process, and display such content solely for the purpose of providing the contracted service.
Templates: Templates included in the OKLegal standard library are the property of OKLegal and are licensed for use within the Platform only. Templates you create are your property.
OKLegal offers monthly and annual subscription plans priced in US dollars (USD). Payment processing is performed by Stripe, Inc. Charges are applied in advance at the start of each billing cycle.
You may upgrade your plan at any time; the prorated charge is applied immediately. To downgrade, the change applies at the start of the next billing cycle.
Stated prices do not include applicable local taxes. OKLegal will charge applicable taxes based on the Subscriber's jurisdiction where required by law.
For a failed payment, OKLegal will retry the charge according to Stripe's retry policy. If payment is not resolved within 7 business days, the account may be suspended until the balance is settled.
OKLegal offers a 14-day free trial period with no credit card required. During this period, you have full access to the features of your selected plan.
You may cancel your subscription at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing cycle; there are no additional charges.
After cancellation, your data remains available for export for 90 days. After this period, data is permanently deleted from our servers (except billing records required by law).
Important: Legal validity of signatures
OKLegal's native electronic signature is a document authentication and integrity mechanism. The legal validity of any electronically signed document depends on the applicable legislation in your jurisdiction and the type of signature used. OKLegal does not guarantee that all electronically signed documents will be admissible in all judicial proceedings or before all institutions.
OKLegal generates and retains audit evidence (timestamp, IP address, user agent, document hash) for all signature events performed on the Platform.
OKLegal is committed to maintaining reasonable service availability. However, we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to:

OKLegal provides the Platform "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
OKLegal shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, loss of clientele, or business interruption, even if OKLegal was advised of the possibility of such damages.
OKLegal's total cumulative liability to you for any claim arising from these Terms or the use of the Platform shall not exceed the amount paid by the Subscriber during the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so the above limitations may not fully apply to you.
These Terms are governed by the laws of the Republic of Costa Rica, without regard to its conflict of law rules. Any dispute arising out of or related to these Terms shall be resolved preferably through direct negotiation between the parties.
If direct negotiation does not reach agreement within 30 days, the parties submit to the exclusive jurisdiction of the ordinary courts of San José, Costa Rica. For users in countries where legally required, nothing in these Terms limits your right to file complaints with your country's consumer protection authorities.
